The news froze trading in WellCare’s stock, which then dropped as much as 80% below its 52-week high. The United States Securities and Exchange Commission (SEC) is monitoring WellCare’s financial statements, and various class-action lawsuits on behalf of shareholders have been filed against the company. WellCare has stated that the federal and state investigations have had no effect on its routine business operations and that the company remains financially sound, with more than $1 billion in cash and cash equivalents.
Prosecutors and a former employee stated in a now-unsealed plea bargain that the company overstated spending by submitting forged paperwork to the state. WellCare was compensated a set per-patient charge and expected to spend at least 80% of it on care under certain mental health care contracts. Any surplus over 20% was supposed to be refunded to the state, but the bogus expenditures allowed WellCare to retain it. In August, WellCare agreed to refund $35 million, its best estimate of the sum improperly retained from 2002 to 2006. Following the raid, the corporation restated its quarterly and annual profits, resulting in a $32 million decrease in net income, and the resignation of its top three executives.
Although no criminal charges have been filed against WellCare or its officials, Florida, Connecticut, and federal prosecutors are conducting investigations. According to Wellcare’s SEC filings, the Securities and Exchange Commission is conducting an informal inquiry, and the business is facing many shareholder lawsuits and sealed whistleblower charges. WellCare has since ceased all contributions to Florida political campaigns.
