HEICO Corporation is a market leader in the supply of jet engine replacement parts. Heinicke Instruments Co. was formed in 1957 as HEICO. The company began by manufacturing devices for use in medical laboratories. Heinicke entered the aviation market in 1974 when it acquired Jet Avion, a manufacturer of jet engine components. The Securities and Exchange Commission sued the corporation five years later for misrepresenting its engineering capabilities. Heinicke settled the lawsuit and agreed to expand its board of directors’ outside representation.

Heinicke came under the ownership of Tyco Laboratories in the early 1980s, a New Hampshire-based corporation that acquired 46% of the company’s stock. Tyco appointed Chester Warner as CEO of Heinicke in order to leverage the company’s position in the medical supply sector. Warner, who succeeded Rolf Franz as president, was an accomplished laboratory products executive who streamlined and revived the company’s portfolio. Heinicke eventually repurchased Tyco’s stock.

In the mid-1980s, increased FAA safety standards and deregulated rates boosted business. In 1986, earnings were $7.6 million on $46 million in sales. By December, the group had acquired four board seats, one of which had been vacated by outgoing Chairman and CEO Robert Surtees. Simultaneously, HEICO sold its laboratory division to Varlen Corp. of Naperville, Illinois, for $17 million.

In 1989, United Technologies Corporation sued HEICO, alleging that its Jet Avion subsidiary infringed on patents covering heat and corrosion resistant coatings used in the combustion chambers of its Pratt & Whitney gas turbine engines. Around a tenth of HEICO’s sales came from these successful coated items.

In the mid-1990s, sales and profits rose, driven by a reviving aerospace industry. Analysts lauded HEICO’s streamlined operation, which enabled the business to undercut the major engine manufacturers and earn the allegiance of its airline customers.

In August 1996, HEICO acquired Trilectron Industries Inc. The company, situated in Palmetto, Florida, manufactured aviation ground support equipment such as ground power units and air conditioning units and generated approximately $15 million in annual revenue.

In 1997, HEICO made an unsuccessful bid of $276 million for Figgie International, a manufacturer of respirators. Lufthansa Technik, a subsidiary of Lufthansa German Airlines AG, spent $26 million in Heico Aerospace in October 1997, acquiring a 20% stake in the subsidiary of HEICO Corporation.

In 1998, HEICO maintained its acquisitive streak. It attempted to acquire ownership of Teleflex Lionel-Dupont, a French maker of aviation and aircraft engine components, in exchange for $63 million in stock (FFr 370 million). The French corporation generated approximately FFr 384 million in annual revenue. Albret Industrie, ERMA, and Tracma were all owned by TLD in France, while Devtec and Lantis were held by TLD in the United States. Devtec’s subsidiaries were located in China and Taiwan. However, HEICO revealed in September 1998 that it would be unable to buy TLD owing to a rival proposal.

HEICO paid $15 million for PTM International, a Miami-based manufacturer of jet engine components. McClain International, an Atlanta-based private manufacturer of jet engine components, was acquired for $41 million. HEICO contributed an additional $2.5 million for the construction of McClain’s headquarters. Lufthansa contributed $9 million to the purchase’s financing. McClain had a yearly revenue of $11 million. In 1962, the company was formed by a World War II veteran pilot and employed 60 people.

HEICO’s fiscal 1997 revenues increased from $63.7 million to $95.4 million in 1998. South Florida’s aviation industry, anchored by GE, B/E Aerospace, and BF Goodrich, grew exponentially in the late 1990s. Indeed, the region ranked first in the country in terms of aviation component suppliers. The industry was founded by corporations such as Pan Am and Pratt & Whitney; its proximity to Latin America had become a determining factor in its development. However, a slowdown was anticipated following Boeing’s statement that it would reduce aircraft deliveries.


Despite the impending commercial aviation downturn, HEICO continued to acquire, attempting to get a greater share of the supply chain. In late 1998, the company acquired Associated Composite Inc. of Miami, which repaired external aircraft parts, for £8.8 million. HEICO acquired Rogers-Dierks Inc., a competitor based in Washington state, in a deal valued at least $15 million in December. Trilectron, a subsidiary of HEICO, constructed its own 113,000-square-foot manufacturing facility in Palmetto, Florida.
